In the event of a dispute between the terms of any such agreement and these Terms of Use, the terms of such agreement will control.

The ConXPoint website and the content within the ConXPoint website are the property of ConXPoint or its suppliers or licensors and are protected by United States copyright laws and international treaty provisions. The compilation, organization and display of the content as well as all software, inventions and proprietary business methods and processes used on and in connection with the ConXPoint website are the exclusive property of ConXPoint. "ConXPoint" and "Your Business World Connected" are trademarks of ConXPoint. Other ConXPoint marks, graphics, logos, page headers, button icons, scripts noted on the ConXPoint website are the sole and exclusive property of ConXPoint. ConXPoint service marks, trademarks and trade dress may not be used in any manner that is likely to cause confusion among customers or the dilution of such marks, in any manner that disparages or discredits ConXPoint, or in connection with any service or product that is not sponsored, endorsed or produced by ConXPoint. All other marks not owned by ConXPoint or its subsidiaries that appear on the ConXPoint website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by ConXPoint or its subsidiaries. ConXPoint has patents pending regarding proprietary features and functionality of its services. Unauthorized use or duplication of these features and functionality for competitive purposes is prohibited and will be strictly enforced.

Any legal action or proceeding relating to your access to or use of the ConXPoint website shall be instituted in a federal, state, or local court in the State of Arkansas and you agree to submit to the exclusive jurisdiction of such court.

If there is a determination that any provision of these Terms of Use is invalid or unenforceable, that determination will not affect the rest of the Terms of Use and the Terms of Use shall be deemed amended to the minimum extent necessary to make them valid and enforceable.
